1. Acceptance of Terms

By accessing and using MediFlow ("the Service"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.

The Service is provided by MediFlow Group ("we", "our", or "us") for use by authorised healthcare organisations and their staff.

2. Description of Service

MediFlow is a medical scheduling and care management platform that provides:

• Patient record management
• Staff scheduling and visit allocation
• Route planning and optimisation
• Mileage tracking and reimbursement
• Care documentation and assessments
• Internal messaging and notifications

3. User Accounts

3.1 Account Creation

Accounts are created by system administrators only. You must not share your login credentials with anyone else.

3.2 Account Security

You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

3.3 Account Termination

We may suspend or terminate your account if you violate these terms or if required by your employing organisation.

4. Acceptable Use

You agree to:

• Use the Service only for legitimate healthcare purposes
• Maintain patient confidentiality at all times
• Enter accurate and truthful information
• Comply with all applicable laws and regulations
• Not attempt to access data you are not authorised to view
• Not share, copy, or export patient data without authorisation
• Report any security incidents or data breaches immediately

5. Healthcare Compliance

Users must comply with:

• NHS Code of Confidentiality
• Care Quality Commission (CQC) standards
• Caldicott Principles for handling patient information
• Professional codes of conduct (NMC, HCPC, etc.)
• UK GDPR and Data Protection Act 2018

6. Intellectual Property

The Service, including its design, features, and content, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

Patient data entered into the system remains the property of the healthcare organisation. We process this data on behalf of and under instruction from the organisation.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be unavailable due to:

• Scheduled maintenance (with advance notice where possible)
• Emergency security updates
• Factors beyond our control (internet outages, etc.)

You should maintain appropriate offline backup procedures for critical patient care.

8. Limitation of Liability

To the fullest extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the fees paid in the 12 months preceding the claim
• We are not responsible for clinical decisions made using the Service

Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your violation of these terms, misuse of the Service, or breach of applicable healthcare regulations.

10. Changes to Terms

We may modify these terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new terms.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
